 Key Terms of Partnership

Your investment secures a bespoke strategic alliance. These are the core operational boundaries of our high-level partnership. The full legal terms and conditions were provided and signed as part of your initial contract when you purchased the Legacy Retainer.

  1. Retainer Usage and Scope Boundaries
  • Fair Use Policy for Uninterrupted Access: The direct access channel (WhatsApp/voice note) is intended for quick, high-priority queries (defined as under 5 minutes to answer) or second opinions. It is not a substitute for scheduled in-depth strategic time (Oracle & Alignment Sessions or Ascent Calls). The Lead Consultant reserves the right to request a complex question be reserved for a scheduled session.
  • Response Time Disclaimer: The stated non-urgent response time of 24–48 business hours apply to UK business hours (Monday-Friday, 9 AM–5 PM). Service cannot be guaranteed outside of these times or during pre-scheduled business travel/holidays.
  • Session Expiration: The four Ad Hoc Strategic 'Oracle & Alignment' Sessions are valid only within the 12-month retainer period. Any sessions not booked within this period will expire upon the termination date.
  • Event Access Credit: This financial value is pre-allocated and includes the program fee for all events (retreats, masterclasses, networking). This is a benefit of access, ensuring the seat is yours if your schedule allows, but the value is non-transferable and cannot be exchanged for other services or refunded if unused.
  • For the two annual optional retreats: The program fee is included in your retainer, but travel and accommodation costs are separate and borne by the client.
  1. Financial and Renewal Terms
  • Payment & Currency: The annual investment of £6,000 is paid upfront or via a pre-agreed payment plan at purchase. All fees are quoted in GBP (£).
  • Renewal: The retainer is a 12-month partnership. A discussion regarding renewal and the next phase of the Strategic Continuum will be initiated 90 days prior to the partnership end date to ensure continuous momentum.
  • Price Changes: The annual retainer fee is subject to review and potential increase upon renewal.
  1. Confidentiality and Intellectual Property (IP)
  • Mutual Confidentiality: All discussions, session content, Scorecard data, business strategies, and personal information shared by either party are held in strict confidence and will not be disclosed without written consent.
  • Proprietary Materials: All frameworks, courses (Trinity of Success, Big-YOU Blueprint), e-books, templates, tools, and methodologies remain the exclusive intellectual property of MorganCCS.
  • License Terms:
    1. You receive a personal, non-transferable, non-exclusive license to use materials during your active retainer period.
    2. Materials are for your individual/business use only.
  • Prohibited: Sharing, reproducing, distributing, reselling, or incorporating materials into your own commercial offerings
  1. Exception: You may share specific tools internally with your direct team members for implementation purposes only
  • Post-Retainer Access: Access to the Member Portal, online courses (including the Trinity of Success Course), and other digital materials expires 30 days after retainer end date unless renewed. You may retain any previously downloaded PDFs for personal reference but may not distribute them.
  • Testimonials & Case Studies: We may request permission to use anonymized results or attributed testimonials for marketing purposes. This is entirely optional and requires your explicit written approval for each specific use.
  1. Cancellation, Pausing, and Refund Policy
  • No Refund After Activation: Once your retainer is activated and portal access granted, the annual investment is non-refundable. This is a commitment-based partnership requiring dedicated capacity allocation.
  • Cooling-Off Period (UK Consumer Rights): You have 14 days from purchase (before activation) to cancel for a full refund if you have not accessed the portal or scheduled any sessions.
  • Partnership Pausing: In exceptional circumstances (serious illness, family emergency, major business crisis), you may request one pause of up to 60 days:
    • Must be requested in writing with explanation.
    • Subject to approval (granted for genuine force majeure only)
    • Extends your retainer end date by the pause duration.
    • Does not extend session expiration beyond 13 months from original start date.
  • Early Termination: Either party may terminate with 30 days' written notice. No refund will be provided for unused services, though you may use scheduled sessions and direct access through the notice period.
  • Session Cancellation:
  • Client cancellation: Minimum 24 hours' notice required, or session is forfeited.
  • Consultant cancellation: Session remains valid and will be rescheduled at your convenience.
  1. Dispute Resolution
  • Good Faith Resolution: Both parties agree to first attempt to resolve any disagreements through direct, good-faith discussion.
  • Mediation: If direct resolution fails, both parties agree to attempt mediation through a mutually agreed neutral third party before pursuing legal action.
  • Governing Law: This agreement is governed by the laws of England and Wales. Any legal proceedings will be subject to the exclusive jurisdiction of the courts of England and Wales.
  • Limitation of Liability: MorganCCS's total liability under this agreement shall not exceed the total fees paid by the client. We provide strategic consulting and coaching; we do not guarantee specific business outcomes, which depend on multiple factors outside our control.
  1. Data Protection & Privacy
  • GDPR Compliance: MorganCCS Ltd. processes your personal data in accordance with UK GDPR and Data Protection Act 2018.
  • Data We Collect:
  • Contact information (name, email, phone)
    • Business/professional information shared in sessions.
    • Alignment Scorecard data and progress notes
    • Payment information (processed securely through third-party providers)
  • How We Use Your Data:
    • Deliver retainer services.
    • Track progress and maintain records.
    • Send event invitations and program updates.
    • Improve our services (anonymized aggregate data only)
  • Your Rights: You have the right to access, correct, delete, or restrict processing of your personal data. Contact [email protected] to exercise these rights.
  • Data Retention: Session notes, and Scorecard data are retained for 2 years after retainer end date, then securely deleted unless you request earlier deletion.
